1. TERMS

This agreement, together with Quotation H_______ is to serve as the Client’s written authorization for the Company to perform Services and/or contract with suppliers for the above described items or services. The Client’s signature also indicates understanding of quotations, prices, terms and liability to the Company for said items or services. The company agrees to provide the services specified in this agreement. Alterations or revisions of above specifications involving extra costs will be executed only upon additional written orders.

2. DESCRIPTION OF THE SERVICES

The services to be performed by the Company for the Client are the provision of hire equipment plus auxiliary services as detailed in quotation number H_______, the “Quotation”

3. DEFINITIONS AND LAW

These terms and conditions together with the quotation referred to in paragraph 2 form the agreement between the parties. ‘Equipment’ means the hired items referred to in the Quotation. These conditions exclude any items and conditions you may have put forward, except where we have agreed to any amendments or other conditions in writing. These conditions do not affect the statutory rights of a person dealing as a consumer defined by the Unfair Contract Terms Act 1977 or any statutory modification of that Act. The contract will be governed by and interpreted in accordance with English Law.

4. BASIS OF CHARGING

You will pay the Hire charges stated in the quotation, subject to receipt of a valid invoice. Invoices are payable within 30 days. Invoices will be issued for the full amount after the event.

5. SAFETY AND INSTRUCTIONS

It is Universal Live’s responsibility to make sure that all the people who use the equipment are properly instructed in its safe and correct use, and that they are in possession of all instructions supplied by us.

6. WHEN YOUR SIGNATURE FOR RECEIPT OF EQUIPMENT BECOMES EFFECTIVE

Where for administrative convenience, you or your agent are requested by us to sign a receipt for the Equipment before it is handed over, you or your agent will be given the opportunity to examine the equipment when it is physically handed over to you or your agent. The receipt will not be effective until immediately after the physical handover.

7. RESPONSIBILITY OF HIRER (YOUR RESPONSIBILITY)

You will ensure that the environment is fit for purpose.

8. ELECTRICAL EQUIPMENT

Where any part of the equipment is electrical it should normally be used with plugs and/or sockets as fitted, but if temporarily fitted with other suitable plugs or sockets, this must be carried out by a competent person who must also return it to its original condition. This shall be the responsibility of the company.

9. LOCATION OF EQUIPMENT

Equipment must not be removed without our authority from any site originally specified by you or from any site we subsequently authorize.

10. LIMITS OF OUR LIABILITY

(I) All items which we state or quote for delivery or collection are approximate but will be sufficient for the purpose of the event.

(II) We will not be liable for any delays caused by any circumstances beyond our reasonable control.

(III) We will not be liable for any indirect loss due to late delivery.

11. INSURANCE AND YOUR RESPONSIBILITY FOR LOST, STOLEN OR DAMAGED EQUIPMENT

Damage/theft of our kit is covered by our insurance unless damage is caused by negligent actions of your staff.

12. TERMINATION OF HIRE

We will be entitled at any time if you commit a fundamental breach of this contract, or if any proceedings are commenced in which your solvency is called into question to terminate this contract with immediate effect and to repossess any or all of the equipment.

Such termination will not affect our right to recover from you any money due to us under this contract or damages for breach of contract.

13. CANCELLATION

In the event of cancellation by you, the following charges will apply.

(i) Over 30 days prior to the commencement of the hire, any specific costs incurred by the Company in relation to the event will be charged.

(ii) Less than 30 days, but more than 7 days prior to the commencement of hire, there will be a charge which will be the highest of 50% of the quotation or actual costs incurred.

(iii) Within 7 – 2 days there will be a charge which will be the highest of 75% of the quotation or actual costs incurred

(iv) Within 48 hours of the commencement of the hire, payment in full will be charged.

(v) If for any reason the Company cancel the contract, no fees will be payable by the Client. If the contract is cancelled within 7 days of the event date, we will engage a replacement company to deliver the event to the same standard and at the same cost. In the event that the cost is higher due to short notice, the Company will be responsible for covering of the difference.

14. SAFETY

Universal Live shall provide the production of the event with appropriate care and skill and shall comply at all times with any applicable regulations as to the provision of the service.

15. RIGHTS RESERVED

Any failure by us to enforce any or all of these conditions shall not amount to, or be interpreted as, a waiver of any of our rights.

16. SEPARATE TERM VALIDITY AND HEADINGS

If any term in this contract is held invalid this shall not affect the validity of the remaining items. The headings in these conditions are for reference purposes only and shall not affect the interpretation of these conditions.
